However, starting in 1991, the business was involved in Operation “Labscam,” a national investigation into healthcare fraud led by the San Diego, California, U.S. Attorney’s Office. The company and others were accused of regularly submitting fictitious claims for needless tests that doctors had never ordered to Medicare and Medicaid, two government healthcare agencies. National Health Laboratories was the first business involved in the government operation to face legal action in 1992.

The company reported over US$720 million in revenue in 1992, but only US$40 million in earnings. The company paid US$80 million as part of a settlement agreement with state and federal governments pertaining to the LABSCAM investigation, and this was reflected in the year’s small gain.[14] National Health Laboratories paid a total of US$111 million in settlement payments that year [15]; in the end, US$173 million was paid. Following the issuance of fresh subpoenas by federal authorities in their probe into Allied Clinical Laboratories Inc.’s Medicare billing practices, National Health Laboratories announced on May 4, 1994, that it would purchase Nashville, Tennessee-based Allied Clinical Laboratories, Inc.[15]

Cochrane, Jr., the former CEO and president of Allied Clinical, later rose to the position of Vice Chairman at National Health Laboratories. The company struggled through the 1994 economic soft landing and found itself in financial difficulties once more by the end of the year. Its earnings fell to just US$30 million, a decrease of more than two-thirds.

At its 1994 low, the stock was down almost two-thirds from its all-time high, and it never traded at more than half of its 1993 peak that year. Following a merger with Roche Biomedical Laboratories, Inc. on April 28, 1995, National Health Laboratories Holdings Inc. became Laboratory Corporation of America Holdings. It started trading using the new ticker, LH.[19] National Health Laboratories’ investors received a 50.1 percent stake in the new business in exchange for 0.72 shares and $5.60 in cash.

James R. Maher was National Health Laboratories’ president and chief executive officer at the time. After the merger, Maher gave up those roles and took over as Chairman of the newly formed business, replacing financier Ronald O. Perelman in that role. The deal gave Perelman approximately US$100 million, making the new business the biggest blood-testing company in the country.
